May/June 2005 The law requires it. The regulators demand it and the prosecutors look for it. Sarbanes requires a positive "tone at the top" as part of 404 implementation. The Department of Justice is examining the environment in which decisions are being made. The revised Federal Sentencing Guidelines now talk of the need for a culture of ethics and compliance.
And yet two years after passage of Sarbanes, companies are still struggling to come to grips with defining the characteristics of an ethical culture that will truly reduce the risk of fraud and scandal. Why is it so hard? An insight is offered from a recent speech by Lori A. Richards, the SEC's Director of the Office of Compliance Inspections and Examinations. Ms. Richards said "[i]t's not enough to have policies. It's not enough to have procedures. It's not enough to have good intentions. All of these can help. But to be successful, compliance must be an embedded part of your firm's culture." "It's not enough." An ethical culture does not automatically result from implementation of new processes and procedures. Organizations have been taking this piece-meal approach of adding new processes and programs without taking a broader look at what kind of culture they are and they aspire to be.

- Simon Longstaff A version of this article was written for the Australian Business Management in May 1995 The collapse of Britain’s oldest merchant bank, Barings, should hold a number of lessons for directors and other officers responsible for a company’s operations. Most important is the need to realise that no amount of external or internal regulation and surveillance will, by itself, prevent determined people from going off the rails.
The crisis precipitated in Baring’s Singapore dealing room could just as easily have been the basis for a spectacular triumph. As is so often the case, censure has followed failure. The actual behaviour of the dealer is condemned because he bet the wrong way and then compounded his error by chasing losses. Had his judgement (or luck) been a little better, then he might now be enjoying the fruits of an enhanced reputation and a healthy bonus. It may appear a little cynical, however one must wonder whether Nick Leeson’s superiors would have castigated him for the same deals if they had led to windfall profits.
Why did it happen? It seems to me that events such as these are a direct product of the environment in which derivatives are traded. For the most part, traders operate as relatively isolated individuals whose remuneration is specifically linked to performance. That is, there is a direct nexus between profit and the size of the year’s bonus. Indeed it is rare to find a remuneration policy that specifically takes account of the manner in which profits are generated.

Differences between UU and Ethical Culture
Note: the original of this message was written in 1998 as a contribution to the AEU email list, Dialogue , in 1998. In my experience, and from long and many talks with people who identify themselves as Ethical Culturists or Ethical Humanists who are attending UU churches because there is no convenient or well-functioning local Ethical Society: the key differences between the two are not theological diversity (Ethical Culture has almost as great a proportion of naturalistic deists/theists as does the midwestern Unitarianism in which I grew up) nor "creed" but the following: 2) UUs tend to be more comfortable with traditional Protestant format and words, even when they have redefined them almost 180 degrees. Thus, UUs would not generally mind the term "in the pews" even if their congregation has always had the same kind of separate chairs that an Ethical Society might have. Worship becomes "the shaping of worth" and is about human worth and dignity. "Church" becomes just a generic term and not a specifically Christian term. (My younger son at five years old called the Ethical Society in Chicago "Zero Church" after having been involved in Second and then First Unitarian Churches little did he know how perceptive that was!) The "hymn sandwich" format of Protestant services is often retained by UU congregations. Personally, I feel the format of most UU churches as heavily Protestant, though our own Ethical Culture format and the Reform Judaism format of the 19th century also borrow heavily from Protestantism, especially in featuring "the word" as the center of the program instead of rituals. UUs are thus far more comfortable with "responsive readings" in Sunday mornings than Ethical Culturists would be, though the words themselves may be just as comfortable or uncomfortable to an average UU as an average Ethical Culturist. (As an aside I'll add: Both groups have significant problems with the term "spirituality" both have many members who dislike the term and find it inherently linked to supernaturalism, and
