by Kathleen Ohlson (IDG) Seven states have passed legislation to protect themselves from most year 2000-related lawsuits, and several other states are following with proposed laws of their own. And depending on the state in question, corporate America may feel more than a pinch. The liability legislation is meant to protect states from becoming bogged down with nuisance lawsuits if things go wrong when the clock strikes midnight on Dec. 31, 1999. Proponents say the laws are necessary to protect the states - and in the end, taxpayers - from frivolous lawsuits. But opponents question whether the laws will mean that businesses that rely on the states for revenue, as well as individual consumers, have little, if any, legal recourse in the year 2000 aftermath.

January 1999 Issue Y2K Law Offers Disclosure Protection By Fong Chan The Year 2000 Information and Readiness Disclosure Act, signed into law by President Clinton on October 19, limits the liability of any individual or organization that has issued or will issue any public statements or reports that deal with the Year 2000 problem. The AICPA advises that the act may provide CPAs with protection regarding publishing information on how to fix a Year 2000 problem and in situations where a client requests confirmation with Year 2000 process capabilities. Under the act, no Year 2000 statement clearly marked as a "Year 2000 Readiness Disclosure" can be used as evidence to prove the statement's accuracy or truth in a lawsuit against the individual or business issuing the disclosure. The law also allows organizations to cooperate with each other to seek a common solution to the problem without violation of antitrust laws. The act defines "Year 2000 statement" as any statement that a person or entity makes to another or to the public that deals with an assessment, projection, plan, timetable, testing, or operational problem or solution addressing the Year 2000 problem. The protection also applies to statements made or placed on a website and to documents containing a republication of another party's Year 2000 disclosure. The law does not apply to materials filed with the Securities and Exchange Commission and banking regulators, or information that accompanies the solicitation of an offer or sale of securities. In addition, it does not shield a business or individual who had actual knowledge that the statement was false, inaccurate, or misleading, or who acted in bad faith, with intent to deceive, or with reckless disregard as to the statement's accuracy. The protection also does not apply to any action brought by a consumer against a seller, manufacturer, or provider of a product with a Year 2000 statement expressly made in a solicitation (e.g., an advertisement or offer to sell, or a Year 2000 statement concerning a software program or service specifically designed to detect or correct a Year 2000 processing problem).

President Clinton has signed a legislation that addresses possible litigation pertaining to computer problems anticipated with the approach of the year 2000. The new law includes provisions that encourage the use of alternative dispute resolution processes to resolve such disputes. The Year 2000 Readiness and Responsibility Act (H.R. 775) was signed into law by Clinton on July 20. U.S. Rep. Thomas M. Davis (R-Va.), who sponsored the Act, said the Act was meant to create an environment that promotes efforts to fix the so-called Y2K problems. The Y2K problem refers to an anticipated glitch in computer software programs that identify years using only two digits. These programs assume that years begin with "19" and will identify "00" as 1900 instead of 2000.

(a) Whereas, in the early years of the computer and information technology industries, programmers adopted conventions to use limited and expensive computer memory and computer processing capacity as efficiently as possible. Among those conventions was the widely adopted representation of years by the last two digits of the year. Programmers and designers of products containing computer processors continued to use this convention for a variety of reasons, including compatibility with existing products and databases, the desire to save expenses by adapting existing programs to new uses, and the anticipation that computers, programs, and products would be replaced as outdated or obsolete before 2000. (b) Whereas, many computers, computer products, and computer services are and will be unable to distinguish or process properly dates with years beginning with 2000. That inability affects and will affect the proper functioning of those computers, computer products, and computer services and the ability of those products to accurately process, store, receive, transmit, or in any way use dates or date data, which is commonly referred to as the "Year 2000" or "Y2K" problem.
