Ohio's Nonprofit Corporation Laws Receive A Facelift Christopher C. McCracken
In the waning hours of last year's legislative session, the Ohio House of Representatives and Senate passed Am. Sub. H.B. No. 597, bringing about substantial revisions to Ohio's nonprofit corporation law (Ch. 1702 of the Ohio Rev. Code). The bill was signed by Governor Taft on January 8, 2001, and became effective on April 10th. The new law introduces some important changes in terminology, increases the statute's flexibility for dealing with mergers and consolidations involving nonprofit corporations, and provides additional safeguards on the disposition of charitable assets in certain types of transactions. Terminology Changes "Trustee" vs. "Director" . The laws of most states refer to individuals who serve on boards of nonprofit corporations as "directors" – the same term universally applied to persons serving on boards of for-profit corporations. However, since 1955 when Chapter 1702 was first adopted, Ohio has used the term "trustees" to describe the persons "vested with the authority to conduct the affairs of..." nonprofit corporations.
Considering today's litigious society, no community-minded citizen serving on a nonprofit board would relish being named as a defendant in a lawsuit where these issues are raised. That is one of the principal reasons why the Ohio State Bar Association, which was a strong proponent of Am. Sub. H.B. No. 597, concluded that it was time for Ohio to join other states in utilizing "director" (rather than "trustee") terminology throughout its nonprofit code. The change should help to make it clear that the standards applicable to directors of Ohio's nonprofit corporations

Civil Liberties Groups Say New Encryption Export Regulations Still Have Serious Constitutional Deficiencies
For Immediate Release: Thursday, January 13, 2000
Washington, DC Leading Internet civil liberties groups said today that new encryption export regulations released by the U.S. Commerce Department fall short of the Clinton Administration's promise to deregulate the privacy-enhancing technology. The American Civil Liberties Union (ACLU), Electronic Frontier Foundation (EFF) and Electronic Privacy Information Center (EPIC) will continue to press their Constitutional cases. These court cases seek to eliminate U.S. government regulations that make Internet encryption software and technology more cumbersome to publish or send than the same items when published in other media. While the Administration has taken a step in the right direction with its latest revisions, the fundamental constitutional defects of the encryption export regime have not been remedied. Specifically:
  • The new regulations, like the old ones, impose special requirements on Internet speech, contrary to the Supreme Court's 1997 ruling in Reno v. ACLU. The regulations require that the government be notified of any electronic "export" of publicly available encryption source code, and prohibit electronic "export" to certain countries. Yet people may freely send the same information anywhere on paper.

Email chronicle@chronohio.com By Eric Resnick The most anti-gay law in Ohio, now being reviewed by the state’s highest court, might owe its birth to the repeal of a sodomy law 30 years ago. The importuning law makes it a crime to ask someone for gay or lesbian sex if it would offend them. It is unique to Ohio, and its origin is linked to a major event in Ohio’s legislative history. House Bill 511, passed in December 1972, completely overhauled Ohio’s criminal codes. The first real change to Ohio’s criminal law since 1840, it is the largest bill ever passed by the state. Lawmakers worked on the bill for nearly seven years. Part of H.B. 511 was the repeal of Ohio’s sodomy law criminalizing homosexual acts between consenting adults. With that, Ohio became one of the earliest states to decriminalize homosexuality, but behind-the-scenes maneuvering and the political climate may have left us with the importuning law. The anti-gay section of the importuning law, which is section 2907.07 of the Ohio Revised Code, is only one of its three parts. The other two deal with sexual solicitation of children by adults. These are also covered by other sexual offenses created by H.B. 511. Thus, the section prohibiting same-sex inquiries is the only uniquely operational part, and the part that is now under constitutional scrutiny by the Ohio Supreme Court.

  • Ministry of Justice (in Greek) The 1975 constitution, which describes Greece as a "presidential parliamentary republic," includes extensive specific guarantees of civil liberties and vests the powers of the head of state in a president elected by parliament and advised by the Council of the Republic. The Greek governmental structure is similar to that found in many Western democracies and has been described as a compromise between the French and German models. The prime minister and cabinet play the central role in the political process, while the president performs some governmental functions in addition to ceremonial duties. The president is elected by parliament to a 5-year term and can be reelected once. The president has the power to declare war and to conclude agreements of peace, alliance, and participation in international organizations; upon the request of the government a three-fifths parliamentary majority is required to ratify such actions, agreements, or treaties. The president also can exercise certain emergency powers, which must be countersigned by the appropriate cabinet minister. Changes to the constitution in 1986 limited the president's political powers. As a result, the president may not dissolve parliament, dismiss the government, suspend certain articles of the constitution, or declare a state of siege. To call a referendum, he must obtain approval from parliament.

    Internships in Civil Rights The Ohio Civil Rights Workgroup The Ohio Civil Rights Workgroup is one of two state groups (the other being CA) that are associated with the National Homeless Civil Rights Organizing Project (NHCROP). The purpose of the Ohio Civil Rights Workgroup is to monitor and keep track of civil rights violations in the form of hate crimes and policies that criminalize homelessness. The Workgroup serves as a means of representing the rights of homeless people when certain policies threaten their necessary life functions. Currently, the Workgroup has representatives throughout the state of Ohio in Akron, Cincinnati, Cleveland, Columbus, Dayton, and Toledo. It will continue to expand in Ohio so that the civil rights of homeless people in all communities can be maintained. In order to facilitate the task of monitoring these violations, NEOCH is developing a database that will one day be used by representatives throughout the State to keep an accurate count of when and where civil rights violations are happening. The database will aid the purpose of the Civil Rights Workgroup and will help build a more organized connection between homeless communities throughout Ohio.     • 08/01, Richland County Judge James DeWeese with the help of Pat Robertson's ACLJ is fighting to keep his Ten Commandments posters in his courtroom. DeWeese displays them alongside the Bill of Rights and quotes from Abraham Lincoln, Alexander hamiliton, Thomas Jefferson and James Madison under a sign that reads "Rule of Law". The case is ACLU of Ohio v. Ashbrook , July/August) 06/07/01, The ACLU decided today NOT to appeal to the US Supreme Court, the 6th District ruling that said Ohio's state motto "With God All Things Are Possible" is constitutional. See item below. 03/00, Voting 9-4, the full 6th U.S. Circuit Court of Appeals ruled that Ohio's motto, ``With God, all things are possible,'' is constitutional and is not an endorsement of Christianity even though it quotes the words of Jesus. The case went to the full appeals court after three 6th Circuit judges ruled last April that the motto violated the U.S. Constitution as a government endorsement of religion. The full court's decision reverses the three-judge panel's decision. The ACLU can now ask the U.S. Supreme Court to review the case. Chris Link, executive director of the Ohio ACLU chapter, said its lawyers first must discuss whether they think the high court will consider the case worth accepting for argument. The ACLU represented the Rev. Matthew Peterson, a Presbyterian minister in suburban Cleveland who objected to Ohio's motto. (Associated Press)
