Massachusetts Attorney General Proposes New Financial Integrity Legislation Governing Charities
On May 5, 2005, Massachusetts Attorney General Thomas Reilly released new proposed legislation regulating Massachusetts charitable organizations. The legislation introduces four principal additions to current law:
  • Certification of Annual Reports
    Audit Committee Requirements : The proposed legislation requires each organization that must file audited financial statements to establish an audit committee. Subject to board supervision, the audit committee is required to make recommendations to the board regarding (a) the selection, retention and termination of an independent auditor; (b) the compensation of the auditor; (c) measures to ensure that management documents and evaluates internal controls; (d) the audit review process and how issues of concern are addressed; and (e) measures to ensure that any non-audit services provided by the auditor conform with federal auditor independence standards. The committee must consist of at least three people, a majority of whom must be on the board, and none of whom may be employees of the organization. No audit committee member may have any material financial interest in any entity doing "significant" business with the public charity, nor have engaged in any related party transactions within three years prior to serving on the committee. Members of the audit committee cannot receive any compensation for serving on the audit committee in excess of standard compensation received for serving on the board.

    July 19, 2005 Attorney General Thomas F. Reilly yesterday stopped a proposed initiative petition aimed at repealing the state's new embryonic stem-cell research law, citing a provision that allows medical workers to opt out of the research for religious reasons. Reilly said that the state Constitution, as well as a series of high court rulings, stated that any law that relates distinctively to religion cannot go before the voters. The new law encourages embryonic stem-cell research in Massachusetts, but exempts medical staff with ''sincerely-held religious practices or beliefs" from the work. The attorney general's action, part of a required review of proposed ballot initiatives, halts the petition drive unless backers can persuade a court to overturn the decision. The backer of the initiative, Catholic activist Larry Cirignano, said he is considering an appeal of the decision. It is the first time since 1999 Reilly has rejected a proposed ballot question based on religion, when he determined that an initiative aimed at allowing public funding of private, religious schools did not pass muster. Reilly has, however, turned away more than a dozen other proposed questions on constitutional grounds.

    Attorney General defends state's 1913 marriage law
    June 24, 2005 BOSTON State Attorney General Thomas Reilly, defending a 1913 state law prohibiting out-of-state couples from marrying in Massachusetts if their weddings are prohibited in their home states, argues in court documents that the nearly century-old law is not being used to discriminate against same-sex couples. The 1913 law has been hotly debated since May 17, 2004, when Massachusetts became the first state in the country to allow gay marriages. Gay-rights advocates have argued that the 1913 law is unconstitutional and has been unfairly applied to out-of-state same-sex couples since Massachusetts began allowing gay couples to marry here. The law is being challenged in a lawsuit filed on behalf of eight same-sex couples from six other states who wanted to get married in Massachusetts but were denied. The group Gay and Lesbian Advocates and Defenders, or GLAD, argued in court documents filed in March that the state is using the 1913 law as a "weapon of purposeful discrimination." But Reilly, in defending the law, argues in court documents filed Friday that the law is being applied evenly to both heterosexual and gay couples and is not being used in a discriminatory fashion. He also argues that other states have the right to their own definition of marriage.

    Some experts say the 1913 law - enforced now for the first time in decades - was originally passed to stop interracial marriages. The state's attorney general, however, contends there's no evidence 1913 lawmakers had a racial motive.

    (CBS/AP) Eight marriage-minded same-sex couples lined up in court in Boston Tuesday, suing for the right to get married in Massachusetts, despite a 1913 state law which bans marriages for out-of-staters who can't legally marry in their home states.
    Their attorney, Michele Granda of Gay and Lesbian Advocates and Defenders (GLAD), told Superior Court Judge Carol Ball that the law is discriminatory and should be struck down. Granda also asked for an injunction blocking the state from enforcing the law, which she says violates the U.S. Constitution.

    The Common Law The legal system of the United States is based on the common law of England. Even though the colonies revolted against the British empire, they retained its legal institutions. In fact, the colonists revolted precisely because they believed that their common law rights were being taken away. Today English law is still the law of the land in some states. The California civil code (Section 22.2) states that the "common law of England, so far as it is not repugnant to or inconsistent with the Constitution of the United States, or Constitution or laws of this state, is the rule of decision in all the courts of this state." The distinguishing features of the common law are that it is based on a system of rights and most of the law is judge-made. Rights are an abstract concept that can be confusing, but the basic idea is straightforward. Rights can be thought of as domains or spheres in which people are free to act without interference. The common law evolved to protect and define this "space." The legal categories that most people are familiar with are common law rights. Property defines the right to possess and own things. Contracts deal with the transfer and exchange of rights. Torts protect rights from accidents and aggression.
