General Aims The Encyclopedia of Law and Economics is an ambitious reference work that attempts to survey the whole law and economics literature in nearly 5,000 pages. Most entries contain two elements: a review of the literature, written by an authority in the field, and a quasi complete bibliography (not just a selection). Economic analysis of law has expanded dramatically in recent years. In many branches, the literature is now at a 'mature' stage, where scholars agree on basic concepts, theories and even on policy recommendations. Yet, this scholarship does not reach many policymakers, lawyers or judges. Outside the USA, it even does not seem to reach law professors. This is not so much due to the fact that policymakers, judges or law professors are not interested in the economic consequences of legal rules, but rather to the fact that the literature is too unaccessible. There is a clear need for reference works that give a reliable overview of the literature in a way that is understandable also for non-specialists. This is the primary purpose of the Encyclopedia of Law and Economics.
Reviews of the Literature The reviews are relatively lengthy articles (on average nearly 10,000 words) in which the basic questions and items of discussion are explained, the literature is summarized, critical reflections on these publications and on the evolution of the discussion in general are developed, and perhaps suggestions for further research are made.

Branches of Georgia Government A new constitution ratified by the people of Georgia in 1982 became effective July 1, 1983. Georgia has had a total of ten constitutions. In reality, these constitutions were not all separate and distinct documents; often the language of one was carried over to the following constitution. The Constitution of 1983 resulted in a major revision of the basic laws of the state. To amend the constitution, two-thirds of the House of Representatives and Senate chambers must vote in favor of the proposed amendment. The amendment is then passed on to the voters in the next general election. If a majority of the people vote in favor of the amendment then it will be ratified. Executive Branch The executive branch, the largest branch of state government in terms of both employees and funding, enforces law and carries out programs such as education, health, welfare and transportation. The chief official in the executive branch is the Governor who is elected by the voters for a four-year term, with succession to one consecutive term allowed. The Governor has a number of powers in state government, including proposing new programs and laws for the state, proposing a state budget for the legislature to consider, vetoing legislation and appointing members of many of the boards in state government. A majority of executive departments are headed by policy-making boards, whose members are appointed by the Governor and confirmed by the Senate. Usually in cooperation with the Governor, the boards appoint a department director or commissioner to administer agency affairs. A few department heads are appointed directly by the Governor.

Colombia's present constitution, enacted in July 1991, strengthened the administration of justice with the provision for introduction of an accusatorial system which ultimately is to replace entirely the existing Napoleonic Code. Other significant reforms under the new constitution provide for civil divorce, dual nationality, the election of a vice president, and the election of departmental governors. The constitution expanded citizens' basic rights, including that of "tutela," under which an immediate court action can be requested by an individual if he or she feels that their constitutional rights are being violated and if there is no other legal recourse. The national government has executive, legislative, and judicial branches, as well as an independent Attorney General (Fiscal) elected for a 4-year term by the Congress. The president is elected for a 4-year term and cannot be re-elected. The 1991 constitution reestablished the position of vice president, who is elected on the same ticket as the president. By law, the vice president will succeed in the event of the president's resignation, illness, or death. Colombia's bicameral Congress consists of a 102-member Senate and a 161-member House of Representatives. Senators are elected on the basis of a nationwide ballot, while representatives are elected in multimember districts co-located within the 32 national departments.

    INTRODUCTION
    The Law Reform Commission was established by the Law Reform Commission Act 1975 as a statutory body corporate to keep the law of the State under review and, in accordance with the provisions of the Act, to undertake examinations and conduct research with a view to reforming the law and to formulate proposals for law reform. By section 4 of the Act the Commission is required, in consultation with the Attorney General, from time to time to prepare for submission by the Taoiseach to the Government programmes for the examination of different branches of the law with a view to their reform. If such programmes prepared by the Commission are approved by the Government, then the Commission shall undertake an examination of and conduct research in relation to the subjects set out in the programme and, if the Commission thinks fit, formulate and submit to the Taoiseach proposals for the reform of the law.

    CHAPTER 5 : Commercial Law
    I. Types of Business Entities Under the Swiss Code of Obligations, a business entity can be established using any one of the following forms :
    Corporation
    Limited Liability Company
    Partnership
    Association
    Foundation
    1) Corporation
    The corporation, which is the most popular form of legal entity in Switzerland, is formed under a company name that is followed by the words "Société Anonyme" or the abbreviation SA. It requires a minimum of CHF 100,000 of capital stock which is divided into shares. Transferability of shares depends on the type of shares issued by the corporation. Bearer shares may be transferred by conveyance of the share certificates. Shares registered in the owner’s name must additionally either be endorsed or assigned, depending on the provisions of the corporate bylaws. These provisions may set forth material restrictions on the transfer of registered shares, such as limits on total holdings or on foreign ownership, within limits set by law. The range of possible transfer restrictions is wider for non-quoted shares than for quoted shares. Shareholders are not personally liable for the corporation’s debts. The corporation may claim payments from shareholders only if, and to the extent that, their shares are not fully paid in.
