I. ENTERING THE U.A.E. MARKET

Foreign enterprises wishing to conduct business in the U.A.E. may do so either by establishing a formal, permanent presence in the U.A.E., or by using a commercial agent. There are several methods pursuant to which a foreign entity may be licensed on a permanent basis in the U.A.E, including:
  • Incorporating a Limited Liability Company (“L.L.C.”);
    Establishing a Branch office or Representative office;
    Establishing a wholly owned entity in one of the U.A.E. Free Trade Zones.
  • By establishing a presence under one of these methods, a foreign entity is permitted to engage in all activities as licensed in the U.A.E. While the scope of activities that may be conducted through these vehicles can include contracting, providing services and possibly manufacturing, foreign entities operating pursuant to these alternatives may engage only in those activities licensed by the relevant U.A.E. authorities. Such foreign entities also will remain subject to the relevant restrictions that reserve certain activities, such as commercial agency activities, for wholly U.A.E. owned enterprises.

    Middle Eastern Laws - Oman Doing Business in Oman I. ENTERING THE OMANI MARKET
    The Commercial Code of Oman (“The Code”) (Royal Decree No. 55 / 90) provides that foreign nationals may not engage in commerce in the Sultanate of Oman except after obtaining “permission to do so in accordance with the applicable Laws” (Article 24). Article 25 of the Code provides that foreign companies may not establish a branch in the Sultanate or engage in Commerce except through an Omani local agent who is a merchant and in accordance with the rules set forth by the Law.
    Royal Decree No. 102 / 94 relating to the Regulation of Foreign Capital Investment (Repealing Royal Decree No. 4 / 74) provides the general framework for foreign investment in Oman. In particular, it provides:
  • Foreign nationals may not conduct any business activities or participate in an Omani company without obtaining a license to that effect from the Ministry of Commerce and Industry
    Licenses to conduct business in Oman are granted to Omani entities whose share capital is not less than OR 150,000 and in which the foreign participation is not more than 49%. The percentage of foreign ownership may be increased in certain situations.

    LEGAL SYSTEM LEGAL ENTITIES IN AZERBAIJAN TAXATION REGULATION OF FOREIGN INVESTMENT
    LEGAL SYSTEM Azerbaijan is a civil law system country. The Constitution is the supreme legal authority of the Republic of Azerbaijan . The legislative system consists of the following legal acts, in the order of hierarchy: (1) Constitution; (2) acts adopted by referendum; (3) laws of the Republic of Azerbaijan ; (4) Presidential decrees; (5) Cabinet of Ministers resolutions; and (6) acts of other central executive bodies. Acts located higher on this list take priority over lower acts. In the event of a discrepancy between two acts of the same dignity (e.g., two laws), the later act takes precedence over the earlier one with regard to the conflicting provisions. In addition, the act containing a more specific rule controls over the one containing a more general rule. International treaties to which Azerbaijan is a party form an integral part of the legislative system. Provisions of international treaties of Azerbaijan take precedence over all conflicting acts of the Republic of Azerbaijan , except the Constitution and acts adopted by referendum.

    When I think of a strong dual banking system, I think of strong communities. I think of local and regional engines for economic growth and job creation. I think of choice, innovation and diversity. The dual banking system is a unique strength we have long enjoyed in this country. I think everyone in this room understands that the dual banking system is at a crossroads. The share of banking activity conducted through state banks is dwindling and there is every reason to believe that trend will continue. The issue goes well beyond market share, to fundamental issues about states' ability to enforce laws protecting consumers. I am going to talk today about these trends and about a petition the FDIC received to expand certain preemptions for state banks. I will also discuss a recent public hearing we had at the FDIC on these issues. Since much of this relates to the OCC's 2004 preemption regulation, I will start there.
