There are two kinds of trading that are referred to as "insider trading" or "inside dealing"
  • Usually illegal: Trading of a security of a company ( e.g. shares or options ) based on material non-public information. The trader may be a corporate "insider" or someone unlawfully obtaining the non-public information (which may constitute a separate offence of spying on trade secrets Usually legal: Trading not based on material non-public information by "insiders" of a corporation. There are rules against this type of " insider trading " in most jurisdictions around the world, though the details and the efforts to enforce them vary considerably. In the United States , for example, there is no general federal law directly prohibiting insider trading. Authority to prosecute cases of insider trading came from the Supreme Court 's interpretation of Section 10(b) of the Securities Exchange Act of 1934 and SEC Rule 10b-5 , prohibiting fraud in connection with the purchase or sale of securities (see , 258 F. Supp. 262 (S.D.N.Y. 1966)). Insider trading has been outlawed in the U.S. since the 1960's.

Abstract
Is insider trading a serious problem in Australia? Market observers have reported that it was seen "all the time involving brokers and institutions" or that they saw insider trading "... during the bull market". According to some financial advisers, "in terms of its frequency, insider trading is a small matter but it has the potential to destroy the market". According to others, there is a link between takeovers and insider trading. What is the true story? Casino capitalism? Insider trading in Australia gives a revealing insight into insider trading in Australia. Officials, brokers, merchant bankers, partners in law firms, financial advisers, financial journalists, and many others were interviewed and invited to offer their perceptions of the incidence of insider trading and to comment on the effectiveness of regulation in the industry. The findings of the Griffiths Committee of 1989 and the Federal Government's new insider trading legislation are also examined closely. Case law is discussed in detail and comparisons are drawn with the securities industry and the securities legislation in the United Kingdom and the United States of America.

(ASX compliance official, March 1988) Insider trading is no new phenomenon to Australia. The Rae Committee reported on large scale insider trading in 1974. The reputation of Australian corporate players and the bullish state of the stock market in the late 1980s presented an ideal opportunity to examine the extent to which insider trading occurs in Australia. Although insider trading has been an offence under various Securities Industry Acts since 1970 (for example, section 75A Securities Industry Act 1970 [NSW]), there has not been a successful prosecution, and there has been no substantial body of judicial commentary on insider trading. It was against this background that in 1988 the research project on which this book is based was undertaken. Coincidentally, the study arose in the context of increasing concern in Australia about the incidence and implications of insider trading and its possible impact on the securities market. It documented how the Bush Administration in 2001 undermined, stalled and withdrew from a global effort to clamp down on money laundering. We learned the indirect connection Enron had to intense lobbying efforts which ultimately swayed the Administration. And how following the attacks of 9-11, Bush changed his tune and working with allies in the war on terrorism, seized over $100 million linked to Al Qeada and other terrorist groups. Unfortunately, this is likely the tip of the iceberg of drug and terror money that is managed by the highest echelons of double-breasted gucci suited criminals. In Part II, we will examine closely what is likely the largest, most globalized and heinous case of insider trading in economic history and how it offered authorities a hot money trail to follow.
