Extractions: Vol. 2, No. 2 - September 1999 The enactment of federal Y2K legislation was certainly a cause for celebration among those worried about a flood of litigation emanating from failed computer systems, but any serious partying should be put on hold until some months after the New Year. The reason for delaying the party is that the success of the federal Year 2000 Readiness and Responsibility Act (the "Y2K Act") will depend on how the courts interpret its terms, and that might take a while. The Federal Y2K Act The Y2K Act sets forth contract and tort law rules and procedures that will apply to all federal and state court civil actions and agency board of contract appeals proceedings in which a plaintiff alleges actual or potential harm from a Year 2000 date-related failure in any device or computer system. Because the law covers actions involving "potential Y2K failures" (in addition to actual failures), it extends to remediation efforts and cases alleging harm from Y2K failures that have not yet manifested. Importantly, the Act does not apply to cases involving personal injury or wrongful death. The Act generally also does not apply to private securities cases. Rather, the Act focuses on disputes that are likely to make up the bulk of Y2K litigation - the enforcement of contractual rights between buyers and sellers of computer software and hardware and process control equipment that contains date-sensitive microprocessors and microcontrollers.

I served as a panelist on two of those occasions, where lively discussion occurred regarding ethics and malpractice issues as a component of the larger Y2K picture. In addition to discussion of some of the office practice management matters, the hot topic emerged as the evolving and amorphous standard of care to which lawyers might be held. Perhaps one of the most fitting (and laugh-provoking) suggestions came from someone in the audience. Figuring the cost is about the same, just buy new systems and forget about paying for compliance analysis and remedial work on existing systems. In previous issues of the Advisory , TLIE has offered suggestions on office management and evaluation, and precautions in providing legal services for clients dealing with Y2K matters. In this issue, we turn our focus to the standard of care, given the difficulties lawyers face in anticipating what a reasonably prudent lawyer could or would do under the same or similar circumstances. At this point, the standard of care cannot be derived from case law because it is limited and evolving, and the full array of legal problems that might arise out of Y2K is not known.
