PRENTICE University of Texas at Austin - Red McCombs School of Business Cornell Law Review, Forthcoming Abstract: There are many visions for the future of securities regulation. One prominent view features significant private contracting for disclosure and fraud protection. Another envisions regulatory competition enabling companies to choose from among a menu of regulatory regimes provided by different states, or nations, or securities exchanges competing for incorporations or listings. This article demonstrates that these two regulatory regimes rely too heavily upon the reputational constraint, which is insufficient to the task. Tenets of behavioral psychology suggest that the self-serving bias and other factors will too often cause managers to choose regulatory regimes that serve their own best interests rather than those of shareholders. Around the globe, most developed economies have rejected private contracting and regulatory competition in favor of emulating America's current strong-SEC model. An impressive body of cross-national empirical evidence supports the viewpoint that the current strong-SEC regulatory model is significantly more effective than known alternatives at promoting capital markets. This article explains why the strong-SEC model best facilitates capital market development and economic growth. Prentice, M.D., who helped to shape the permanent collection of the de Saisset Museum in profound ways. Prentice was an avid art collector and museum donor with a rare combination of compassion, courage, and conviction. He possessed a profound understanding of contemporary art and served as an advocate for important and challenging work, such as the art of Bruce Conner. The assemblage piece by Conner which is depicted, Go Ask Tucker, provides an ideal example of the art acquisitions that Prentice championed and helped usher into the collection. Fully half of the works by Conner in the de Saisset Museum's permanent collection were donated by Prentice. In January 2000, we will bring together all the holdings in the de Saisset by Bruce Conner in an exhibition dedicated to the memory of Robert Prentice. His generous nature and noble attitude are displayed by the following excerpt from a letter he wrote to then de Saisset director Georgianna Lagoria: The pleasure I receive privately from my donations derives from a rectitude about my beginning associations with Santa Clara. Without [SCU's] generosity in the form of a scholarship at the beginning of undergraduate studies, I seriously doubt I would have had the opportunity to become a physician. Pierrepont I. Prentice, a Memoir Robert Clancy [reprinted from the Georgist Journal , No. 63, Spring, 1989] Some 30 years ago, when I was Director of the Henry George School, I received a phone call from a person who did not sound very impressive. In a halting voice that had a stammer, he asked for information on land value taxation. I was to meet him for lunch in the Time and Life building, bringing what ammunition I could. He turned out to be Pierrepont I. Prentice, editor of House & Home, one of the Luce publications; and before that he had been publisher of Time magazine. In studying the housing industry, he continually came across the obstacle of high land prices. He remembered that Henry George had something to say about it, so looked in the phone book for something with "Henry George" in it. "Perry" Prentice thereafter became an advocate of LVT, made contact with the movement, and produced a special issue of House & Home (August 1960) devoted to the land question. This created waves throughout the country. Shortly after, Mr. Prentice left House & Home, became associated with the Robert Schalkenbach Foundation and in 1971 became its President. He travelled far and wide, addressing civic, governmental, city planning and architectural groups, criticizing our present system of taxation as "harnessing the profit motive backwards" and urged a shift of taxes from buildings to land.

Birge began to design and manufacture wallcoverings in Buffalo This was nine years following the completion of the Erie Canal and two years after the incorporation of the City of Buffalo. The business he began came to be known as M.H. Birge and Sons. Buffalo prospered as the new commercial and transportation center of the Midwest, and Birge began making draperies and furniture. The second president from Buffalo, Grover Cleveland, took office in 1884, the same year that M.H. Birge and Sons celebrated 50 years in business.
